Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Borrow That marketplace, websites, and services (the "Platform"), operated by Borrow That LLC ("Borrow That," "we," "us," or "our"). By creating an account, listing an item, or requesting a rental, you agree to these Terms. If you do not agree, do not use the Platform.

1. What Borrow That is

Borrow That is an online marketplace that connects people who own tools, home goods, gear, and equipment ("Owners") with people who wish to rent them ("Renters"). Borrow That is not the owner, seller, or renter of any listed item. Any rental is a direct agreement between the Owner and the Renter, and Borrow That acts only as a venue and payment facilitator. We do not inspect, endorse, or guarantee any item, Owner, or Renter.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. By using the Platform you represent that the information you provide is accurate and that you will keep it current.

3. Accounts

Owners must register for an account to list items. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. Listings and Owner responsibilities

• Owners are responsible for the accuracy of their listings, including descriptions, pricing, availability, and photos.
• Owners represent that they own or are authorized to rent each listed item and that the item is safe, functional, and legal to rent.
• Owners set the daily rate and any security deposit and are responsible for their own tax obligations.

5. Bookings and payments

• When a Renter submits a request, their payment card is authorized (a hold is placed) for the rental total, but not charged.
• If the Owner approves the request, the hold is captured (the Renter is charged). If the Owner declines or does not respond, the hold is released and the Renter is not charged.
• Card payments are processed by Stripe. Borrow That does not store full card numbers.
• The rental total includes a processing fee shown before you confirm. All amounts are in U.S. dollars.
• For launch, funds are collected by Borrow That and paid out to Owners separately.

6. Cancellations and refunds

A Renter may cancel free of charge up to 24 hours before the rental start date; any authorized hold or captured charge for that rental will be released or refunded. Cancellations made less than 24 hours before the start date are non-refundable, except where the Owner cancels or fails to provide the item, in which case the Renter receives a full refund. Owners who cancel confirmed rentals may be subject to removal from the Platform.

7. Security deposits

Any security or damage deposit stated in a listing is arranged and handled directly between the Owner and the Renter, off the Platform. Borrow That does not currently collect, hold, or adjudicate deposits, and is not responsible for their return or for damage claims.

8. Renter responsibilities

• Use rented items safely, lawfully, and only for their intended purpose.
• Return items on time and in the same condition as received, ordinary wear excepted.
• You are responsible for loss of or damage to an item while it is in your possession, and for any late-return charges agreed with the Owner.

9. Prohibited items and conduct

You may not list or rent items that are illegal, stolen, recalled, or unsafe, and you may not use the Platform to harass, defraud, or harm others, to circumvent our fees, or to violate any law. We may remove listings and suspend accounts that violate these Terms.

10. Disclaimers and assumption of risk

The Platform and all listed items are provided "as is" and "as available." To the fullest extent permitted by law, Borrow That disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Renting and using equipment carries inherent risks; you assume all risk arising from your use of any rented item. Borrow That is not responsible for the condition, safety, legality, or performance of any item, or for the conduct of any Owner or Renter.

11. Limitation of liability

To the fullest extent permitted by law, Borrow That and its members, officers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising out of or relating to your use of the Platform. Our total liability for any claim relating to the Platform will not exceed the greater of the fees we earned on the transaction giving rise to the claim or fifty U.S. dollars ($50).

12. Indemnification

You agree to indemnify and hold harmless Borrow That from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your listings, rentals, use of the Platform, or violation of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. You agree that the exclusive venue for any dispute that is not otherwise resolved will be the state or federal courts located in Franklin County, Ohio, and you consent to their jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Continued use of the Platform after changes take effect constitutes acceptance.

Privacy Policy

This Privacy Policy explains how Borrow That LLC ("Borrow That," "we," "us") collects, uses, and shares information when you use the Borrow That Platform.

1. Information we collect

• Account information: when Owners register, we collect name, email address, phone number, and neighborhood, and optionally a business name.
• Rental request information: when a Renter submits a request, we collect their name, email, phone number, and the rental dates and item.
• Payment information: card payments are processed by Stripe. We receive limited transaction details (such as amounts and status) but do not collect or store full card numbers.
• Content: listing details and photos you upload.
• Technical data: basic information needed to keep you signed in and operate the site.

2. How we use information

• To operate the marketplace and let Owners and Renters transact.
• To process payments and place or release card holds.
• To notify Owners of rental requests and to provide support.
• To protect the Platform, prevent fraud, and comply with law.

3. How we share information

• With Owners: a Renter's request details (name, contact, dates) are shared with the relevant Owner so they can fulfill the rental.
• Service providers: Stripe (payments), Supabase (database and authentication), Netlify (hosting), and Resend (email notifications) process data on our behalf.
• Legal: we may disclose information where required by law or to protect rights and safety.

We do not sell your personal information.

4. Data storage and security

Data is stored with our service providers using industry-standard safeguards, including access controls and encryption in transit. No method of transmission or storage is perfectly secure, and we cannot guarantee absolute security.

5. Cookies and local storage

We use browser local storage to keep you signed in. We do not use third-party advertising cookies.

6. Data retention

We retain account and transaction information for as long as needed to operate the Platform, meet legal and tax obligations, and resolve disputes.

7. Your choices and rights

You may request access to, correction of, or deletion of your personal information by emailing hello@borrowthat.com. We will respond consistent with applicable law.

8. Children

The Platform is not directed to and may not be used by anyone under 18.

9. Changes

We may update this Policy; the "Last updated" date reflects the latest revision.

Rental Agreement

This Rental Agreement ("Agreement") applies to every rental arranged through the Borrow That Platform and forms a binding contract between the Owner and the Renter of the item. Borrow That LLC facilitates the transaction but is not a party to this Agreement. This Agreement incorporates the Borrow That Terms of Service.

1. The rental

The Owner agrees to rent, and the Renter agrees to rent, the item identified in the confirmed request for the dates and daily rate shown at the time of booking (the "Rental"). The specific item, dates, and total for each Rental are recorded in the Renter's request and the Owner's dashboard.

2. Payment

The Renter's card is authorized (held) when the request is submitted and charged when the Owner approves the Rental, as described in the Terms of Service. The rental total includes the Platform processing fee.

3. Security deposit

Any security or damage deposit is arranged directly between the Owner and the Renter and handled off the Platform. Borrow That does not collect or hold deposits.

4. Renter obligations

• Inspect the item on receipt and report any pre-existing damage promptly.
• Use the item safely, lawfully, and only as intended, following any instructions provided.
• Not sublet, sell, or permit others to use the item without the Owner's consent.
• Return the item to the Owner at the agreed time and location in the same condition, ordinary wear excepted.

5. Owner obligations

• Provide the item as described, in safe and working condition, at the agreed time and location.
• Disclose known defects or hazards and any operating instructions.
• Warrant that the Owner owns or is authorized to rent the item.

6. Loss, damage, and late return

The Renter is responsible for loss of or damage to the item beyond ordinary wear while it is in the Renter's possession. The Owner and Renter agree to resolve any damage or deposit claims directly. Late returns may incur additional daily charges as agreed between the parties.

7. Risk and liability

The Renter assumes all risk arising from possession and use of the item. To the fullest extent permitted by law, each party is responsible for its own acts and omissions, and Borrow That has no liability for the item's condition or use or for any dispute between the Owner and Renter.

8. Indemnification

Each party agrees to indemnify and hold harmless the other party and Borrow That from claims arising out of that party's breach of this Agreement or misuse of the item.

9. Governing law

This Agreement is governed by the laws of the State of Ohio, with exclusive venue in Franklin County, Ohio.

10. Entire agreement

This Agreement, together with the Terms of Service and the confirmed booking details, is the entire agreement between the Owner and Renter regarding the Rental.
